Specialist Agreement

This Specialist Agreement is a separate agreement between you and GROWTHIFY TECH LTD (company number 17323128; registered office: Dept 6899, 196 High Road, Wood Green, London, United Kingdom, N22 8HH), and applies in addition to our general Terms of Service, whenever you apply to, or are accepted as, a specialist (a human business-language tutor/coach) on the BizLingo platform. Where this Agreement and the general Terms conflict on a matter covered here, this Agreement controls for your work as a specialist.

Independent Contractor Status

You provide specialist sessions as an independent contractor, not as an employee, agent, partner, or joint venturer of GROWTHIFY TECH LTD. You are responsible for your own tax, national insurance or equivalent social security contributions, and business registration obligations in your country of residence. Nothing in this Agreement creates an employment relationship.

Verification & Eligibility

Before you take any paid session, we personally review your application and verify your identity. We may decline or revoke specialist status at our discretion, including where we cannot verify your identity, where KYC (know-your-customer) or sanctions screening raises a concern, or where you are located in a jurisdiction we are unable to pay out to.

Payment Timing & Payout Process

At this stage, BizLingo does not yet automatically track per-session earnings on your behalf. You request a payout for the amount you believe you are owed, and our team manually reviews and verifies each request against session and account records before approving it. Approved payouts are sent outside the platform; we do not currently commit to a fixed payout schedule, but we aim to process approved requests promptly. We may ask you for supporting information before approving a request.

Unspent Balance on Termination

If your specialist status ends (whether you stop taking sessions or your access is revoked), any payout request you already submitted and that we approve remains payable to you. We will not cancel an approved-but-unpaid payout solely because your specialist status has ended. You must submit a payout request for any amount you believe you are still owed within 90 days of the date your specialist status ends; requests submitted later may not be honored.

Intellectual Property & Feedback

You retain ownership of your own teaching materials and methods. Session recordings and transcripts are handled the same way as any other BizLingo session under our Privacy Policy. Any feedback or suggestions you give us about the platform may be used by GROWTHIFY TECH LTD without obligation to you.

Professional Conduct

You agree to conduct sessions professionally, to represent your qualifications and experience accurately, and not to solicit members to transact with you outside the platform for services you offer as a BizLingo specialist. We may suspend or terminate your specialist status for conduct that harms members or the platform.

Limitation of Liability

To the extent permitted by law, GROWTHIFY TECH LTD's aggregate liability to you under this Agreement will not exceed the total amount actually paid to you in the twelve months before the claim arose. We are not liable for indirect or consequential losses.

Governing Law & Disputes

This Agreement is governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from it, except where applicable law gives you the right to bring proceedings in your own country of residence instead.
